General terms and conditions of the Sezamo for participation in the Sezamini Club

of SEZAMO S.R.L. ("Sezamo"), a limited liability company organized and operating in accordance with the laws of Romania, having its registered office at 5 Linia de Centură Street, Ctpark Industrial Park Bucharest North, Unit J2, Room C9.1F.26, Ștefăneștii de Jos, Ilfov County, registered at the Trade Register under no. J23/3334/2024, CUI RO50031526, share capital 45,000 RON (“Sezamo.ro”).

1. Scope

The General Terms and Conditions for participation in the Sezamini Club (Club Terms and Conditions) apply to the use of the Sezamini Club in the online shop of SEZAMO SRL
( „Sezamo.ro") on www.sezamo.ro (the “Magazinul Online Sezamo.ro”).

2. What is the Sezamini Club?

The Sezamini Club is a loyalty program for customers who are already registered with Sezamo (exp: customers who already have a customer account with www.sezamo.ro), which is aimed at expectant parents and parents of children between the ages of 0 and 12 ("Customers").

3. Contractual Partner

The owner of the online shop and contractual partner for all contracts is SEZAMO S.R.L. , a limited liability company organized and operating in accordance with the laws of Romania, having its registered office at 5 Linia de Centură Street, Ctpark Industrial Park Bucharest North, Unit J2, Room C9.1F.26, Ștefăneștii de Jos, Ilfov County, registered at the Trade Register under no. J23/3334/2024, CUI RO50031526, share capital 45,000 RON ("Sezamo"/”Sezamo.ro”)

4. Conclusion of contract

If you register for the Sezamini Club, a contractual relationship is established between you and Sezamo.ro. Registration in the Sezamini Club is a prerequisite for participation in the Sezamini Club. Registration and participation are free and voluntary.
The general terms and conditions of Sezamo.ro apply to the Sezamini Club, available here, which are replaced by the present Terms and Conditions of the Sezamini Club ("Sezamini Club Terms and Conditions") to be added. In the event of contradictions, the terms and conditions of Sezamo.ro take precedence.

5. Registration in the Sezamini Club and processing of data

You can become a member of the Sezamini Club if you are a Sezamo.ro customer. We reserve the right to refuse the participation of certain persons or to exclude members. There is no legal
entitlement to membership in the Sezamini Club. When registering for the Sezamini Club, you must state your child's first name, your child's gender and your child's date of birth. When registering, expectant parents only need to indicate
the expected date of birth and – if known – the gender of the child. After confirmation of membership by Sezamo.ro (only then it is a membership) you will be notified by Sezamo.ro by e-mail and your customer account will be expanded to include the membership area. By entering the child's data, you affirm that you are authorized to pass on the data. Notifications from the Sezamini Club are sent to the email address stored in the customer account. The member gives his/her consent to be contacted by Sezamo.ro by e-mail regarding member campaigns and discounts or offers including third-party content relating to the Sezamini Club. 6. Sezamini Club benefits

a. Discounts

Sezamini Club discounts are only available to members. Discounts are not transferrable to other members.

b. Free shipping

Free shipping applies from Sunday through Thursday for deliveries between 10:00 a.m. and 4:00 p.m. (but not for express delivery or for pinpoint delivery within 15-minute windows). Free shipping applies for the minimum order of 150 RON.

c. Bonus for orders

1. For the first and second purchase within a calendar month as a member of Sezamini Club, above the threshold of 300 RON, the Sezamini member will be awarded 14 days free Premium subscription from the date of delivery of that specific purchase.

2. Any purchases after the first and second order placed within the same calandar month under the conditions mentioned in the above paragraph, the Sezamini Club member will receive 15 credit points for each purchase in a minimum value of 300 RON on www.sezamo.ro (the “Sezamo Portal”) or on the sezamo.ro mobile app. Upon successful delivery of the order, these credit points will automatically be credited to your customer account; they remain valid for 14 days from delivery of the order and can be used to buy any goods from Mother and Child category avaliable on the Sezamo Portal.

Credit points are awarded for the value of goods actually purchased, excluding alcoholic beverages and tobacco products. In addition, the following items are exempt from the total amount:

cost of shipping;
tips;
redeemed credits points;
returnable packaging.

7. Termination of Membership

You can terminate your membership at any time without giving reasons and without observing a deadline by enetering in „My Account” - Sezamini Club. All acquired discounts and other club benefits are irrevocably forfeited when the account is closed and cannot be reinstated or transferred. We can terminate your account by e-mail with a notice period of six weeks. After the four-week period has expired, all discounts and other club benefits will expire irrevocably and cannot be reinstated or transferred. Sezamo.ro reserves the right to discontinue the Sezamini Club at any time and without giving reasons or to replace it with another club. In the event of the dissolution of the Sezamini Club, all discounts and other club benefits that have been acquired will be irrevocably forfeited.

The data protection declaration of Sezamo.ro, available here, is an integral part of these terms and conditions. Here you will find detailed information on the processing of personal data and the rights of data subjects.

9. Liability

We are liable to you in all cases of contractual and non-contractual liability in the event of intent and gross negligence in accordance with the statutory provisions for damages or reimbursement of wasted expenses. In other cases, we are only liable - unless otherwise agreed - in the event of a breach of a material contractual obligation, the fulfillment of which is essential for the proper execution of the contract and on the observance of which you can regularly rely, limited to compensation for foreseeable and typical damage. In all other cases, our liability is excluded subject to the following regulation. Our liability for damage resulting from injury to life, limb or health and under the Product Liability Act remains unaffected by the above limitations and exclusions of liability.

Sezamo.ro does not guarantee permanent availability of the technical systems in connection with the Sezamini Club. If the Sezamini Club's technical system for recording discounts and credits in the form of credits is not accessible (even temporarily), no claims can be made against Sezamo.ro.

10. Applicable law, place of performance

For contracts with companies, the factual and local competent court for the registered office of Sezamo.ro is agreed as the sole place of jurisdiction. If you are a consumer, you have the choice between your place of residence and the place of jurisdiction at the company's registered office. The contracting parties agree, insofar as there are no mandatory legal provisions to the contrary, the applicability of Romanian law. The UN sales law and all provisions that refer to the UN sales law are expressly excluded. Mandatory consumer protection regulations under the law of the state in which the consumer has his habitual residence remain unaffected.
