Terms and conditions for the purchase and use of the Premium membership service on www.sezamo.ro


COVRIG CROCANT S.R.L. ("Sezamo"), a limited liability company organized and operating in accordance with the laws of Romania, having its registered office at 5 Linia de Centură Street, Ctpark Industrial Park Bucharest North, Unit J2, Room C9.1F.12, Ștefăneștii de Jos, Ilfov County, registered at the Trade Register under no. J23/3903/2022, CUI RO44505200, share capital 74,145,000 RON (hereinafter "We"), inform you as a user of the website www.sezamo.ro ("the website") about the terms and conditions of use of the Premium service ("Premium Service Terms and Conditions of Use").

I. Introductory provisions 

These Premium Membership Terms and Conditions of Service govern the mutual rights and obligations of the parties arising in connection with, or based upon, the agreement for the use of the Premium Membership Service ("Agreement") to be entered into between Sezamo and a customer of Sezamo ("Customer") who, through the portal www.sezamo.ro ("Sezamo Portal") and/or another URL and/or mobile application, wishes to enter into the Agreement with Sezamo. 

II. Establishing Premium Subscription 

Customers have the option to subscribe to a Premium Subscription ("Premium Subscription") on the Sezamo Portal to enjoy the benefits associated with such Premium Subscription. 

In this regard, Customers have the choice between the following Premium membership service alternatives: 

1. Monthly Premium Subscription - which will be automatically renewed, while the subscription fee will be automatically charged once a month; or 

2. Annual Premium Subscription - which will be renewed automatically, while the subscription fee will be charged automatically once a year. 

Premium Subscription Fee: 

The Premium Subscription service costs 19 lei for the monthly Premium Subscription or 190 lei for the annual Premium Subscription. 

By subscribing to the Premium service, the Customer obtains at least the following benefits: 

- free delivery all the time; 

- the option to reserve a delivery slot before completing your order; 

- the option to place 2 orders per month with no minimum order value and free shipping; 

- the option to place 4 orders per month with Express delivery within 120 minutes of placing the order, free of charge;

- Express delivery fee discounted to 14.90 lei, after exhausting the 4 orders with free Express delivery;

- same day delivery guarantee*

- guaranteed discount up to 20% on selected items from the range of products marked as Premium products, for the duration of the Premium Subscription; 

- priority assistance from the Customer Relations department;

-  compensation in case of delayed orders according to the length of the delay**.

* We guarantee same day delivery for orders placed with the 17:00 delivery option. depending on available delivery intervals allocated to certain delivery zones. For example: for the Comuna Domnești area, delivery times are available from 12:00 to 16:00.

**Amount credited according to the delay for customers who have activated the Premium service:

- in case of delay between 0-10 minutes no delay credit will be granted;

- in case of delay between 10-30 minutes 15 credits will be granted;

- in case of delay between 30-60 minutes, 30 credits will be granted;

- if the delay is more than 60 minutes, 40 credits will be granted and the Premium service will be activated free of charge for one month, starting from the moment the delivery in question is completed;

Customers can activate the Premium membership service on the Sezamo Portal by accessing their customer profile and clicking on the "Try Sezamo Premium" link or button. Customers are offered the choice between Monthly Premium Membership and Annual Premium Membership, which they confirm by clicking on "Activate Monthly Membership" or "Activate Annual Membership". The Sezamo portal then takes the customer to a secure online payment gateway where they can pay the fee for the Monthly or Annual Premium Subscription using their bank card. 

As soon as the customer has paid for the Premium Subscription service offered on the Sezamo website, Sezamo will send an invoice (via the customer's user account), issued in accordance with the legal provisions in force, which can be accessed by searching for the respective order and downloading the documents by clicking on the "Your Documents" button. 

Sezamo reserves the right to temporarily suspend, for as long as necessary, the Premium Subscription activation option for future potential subscribers from among its Customers, if an increase in the number of Customers using the Premium Subscription could lead to a deterioration in the quality of the services provided under (or the benefits deriving from) the Premium Subscription. 

III. Withdrawal from the Agreement 

The customer has the right to withdraw from the Premium Subscription service contract, even without giving reasons, within 14 (fourteen) days from the date of conclusion of the contract. In order to exercise the right to withdraw from the Agreement, the Customer must notify Sezamo of its withdrawal from the Agreement in one of the following ways: 

- in writing by sending a physical notice to Sezamo's office; 

- electronically, to the e-mail address clienti@sezamo.ro; or 

- by phone, by calling 0800 894 077, Monday to Sunday from 7am to 11pm. 

In case of a valid withdrawal from the Contract, the Customer will be refunded by transferring the amount to the bank account from which the payment for the Premium Subscription was made. This refund will be made promptly, but in any event no later than 14 (fourteen) days from the date on which the Customer's notice of withdrawal reached Sezamo. Subject to the Customer's prior express consent, the refund of the Premium Subscription amount may instead be converted into a credit to the Customer's account. These credit points are valid for an unlimited period of time. 

IV. Cancellation of Premium Membership 

A customer may cancel the Premium Membership service even before the agreed membership term has expired, but in this case he/she is not entitled to a refund of the Premium Membership fee (not even in part). Customers may cancel their Premium Membership even without giving reasons through any of the following channels: 

- in writing by sending a physical notice to Sezamo's office; 

- electronically, to the e-mail address clienti@sezamo.ro; or 

- by telephone, by calling 0800 894 077, Monday to Sunday from 7am to 11pm; or 

within the customer account, where the Customer can deactivate the automatic renewal of the Premium Subscription, in which case his subscription will expire at the end of the period for which it was contracted. 

An exception are Customers who decide to cancel their Premium Subscription between the 15th and 30th day of their subscription. In such a case, Sezamo will refund the Premium Subscription service fee to the Customer by crediting an appropriate amount of credit points to the Customer's account. These credit points are valid for an unlimited period of time. 

If 30 (thirty) days have passed since the Premium Subscription was established, the Customer may still be entitled to a refund of the fee, but only if the Customer has never used any of the benefits associated with the Premium Subscription. In this case, the fee will be refunded by crediting an 

appropriate amount of credit points to the Customer's account. These credit points will be valid for an unlimited period of time. 

V. Liability and guarantees 

Sezamo shall not be liable for any damages or other consequences suffered by the Customer based on or in connection with the Customer's individual actions, the Customer's use of the Sezamo website or other circumstances on the part of the Customer. 

Sezamo is not liable for damages caused by force majeure or for the failure (unavailability) of the Sezamo portal. Sezamo reserves the right to temporarily restrict the provision of the full range of benefits associated with the Premium subscription. Such restriction of services may be caused by an exceptional and unforeseeable situation, force majeure, which results in temporary exhaustion of Sezamo's capacities. 

Sezamo assumes no responsibility for the smooth, uninterrupted, correct and secure operation of the Sezamo portal. In addition, Sezamo is not liable for advertising or promotion by third parties through the Sezamo portal or for errors caused by third party interference with the Sezamo portal or use of the Sezamo portal in a manner contrary to its designated purpose. 

Sezamo is not liable for the services provided by independent entities other than Sezamo, i.e. in particular payment system operators, nor for any consequences of their actions or for the rights and obligations associated with these services. 

VI. Final provisions 

In the event that the legal relationship in connection with the use of the Sezamo portal or the legal relationship determined by this agreement has an international element, the parties have agreed that this relationship shall be governed by Romanian law. This is without prejudice to the rights of the Customer (as a consumer) under the generally binding provisions of the applicable law. The Romanian courts are competent to settle all possible disputes between the parties, while the court with local jurisdiction is determined by the address of Sezamo's registered office. 

Customers can lodge complaints with the National Authority for Consumer Protection (www.anpc.ro), which is the state supervisory authority for consumer protection. 

Sezamo may discontinue selling goods and/or providing services through the Sezamo portal at any time. 

Sezamo may, at any time, make reasonable changes or additions to these Premium Service Terms and Conditions of Use, provided that it informs the Customer in advance of such changes or additions by e-mail or other appropriate channel so as to allow the Customer to become familiar with the current wording of the Premium Service Terms and Conditions of Use without undue difficulty. If the Customer does not agree with the modification of the Terms and Conditions of Use of the Premium Service, the Customer may terminate the Contract, subject to a notice period of 1 (one) month, starting on the day following the day on which the notice of termination has been duly sent to Sezamo. 

If any provision of these Premium Service Terms and Conditions is or becomes invalid or inoperative, then a provision whose meaning most closely approximates that of the invalid or inoperative provision shall apply in its place. The invalidity or unenforceability of any individual provision hereof shall not affect the remaining provisions of these Premium Service Terms and Conditions of Use, which shall continue in full force and effect.
